- Special Topics in Partnership Taxation – Debt Allocations, 754 Elections, and Selling a Partnership Interest

How debt is allocated to the partners in a partnership is important. It dictates how much money may be taken tax-free as a distribution, the losses that flow down to the partners, and the gain or loss on the sale of a partnership interest. However, the allocation of debt can differ depending on the type of debt that it is and the type of partner we are talking about. Not to mention that 704(c) can complicate things. And what in the world is a constructive liquidation scenario? This session will tackle the concept of debt allocations – how to do it, what it means, and why to do it. Also discuss how not having a 754 election in place can result in an unbalanced balance sheet, and what a look-through provision is.

- Understanding Real Estate Taxation – Rental Status, Vacation Homes, and Depreciation Recapture

The taxation of real estate is tricky. Taxpayers can own real estate in a number of different ways, including direct and indirect investments. There are numerous exceptions to being classified as a rental activity too. And how do you know if someone is a real estate professional? DAVID R. PETERS, CPA, CFP, MST, CPCU, CLU

David Peters is the Founder and Owner of Peters Professional Education and Peters Tax Preparation & Consulting, PC. He is also a financial advisor for Peters Financial, LLC. David has over twenty years of experience in financial services, including 3 years in the hedge fund industry and 14 years in the insurance industry. David was the first-ever Chief Financial Officer at Compare.com - a position he held for more than three years.
In addition to running his own professional education website, David is a National Instructor for the AICPA, Surgent, Kaplan, and Don Farmer Tax Seminars. He was a recipient of Surgent's Outstanding Discussion Leader award in 2019 and 2022, as well as the AICPA's Outstanding Facilitator Award in 2021 and 2023. He regularly teaches courses in accounting, finance, insurance, financial planning, and ethics throughout the United States. David holds four masters degrees, and is currently pursuing his PhD in Financial Planning. He contributes regularly to various CPA publications, including NCACPA's Interim Report, SCACPA's CPA Report, and VSCPA's Disclosures. David was also a co-author of the 2018, 2019, and 2020 Virginia CPA Ethics courses - a required course for all CPA's licensed in the Commonwealth of Virginia.

Heather Woody

Heather L. Woody is a success coach that teams with individuals personally and professionally to help experience greatness. She has a passion for working with people as they pursue their own road to success, goal achievement and fulfilled lives. Heather is sought for her contagious energy, her ability to quickly zero in on the powerful components of a situation, flesh them out and help her clients uncover an approach that leads them to success. Heather has a strength for connecting people in their working and personal relationships in order to create flow, understanding and best outcomes. Heather’s work as a success coach, facilitator and speaker has encompassed many areas including:  leadership, team work, communication, change management, coaching, generational bridging, emotional intelligence, self-time management and project-time management. She conducts her coaching with individuals and in small team dynamics.

Jason Carney

Jason Carney, CPA, CISA, PMP, CISSP, CCSP, Esq., is a senior manager at ABS, Inc., a boutique consulting firm based in the Washington, DC metro specializing in complex accounting issues. He is also the principal for IRS Problem Free, a tax resolution service. He has more than 15 years of experience in public accounting, consulting, and industry. His specialties include technical accounting, financial statement audit, information security, and tax controversy. Jason has worked in the financial services, software, and federal finance sectors. Jason has taught more than 100 CPE courses for audiences across the country. He has been consistently well-received and specializes in adapting content for the unique needs of each audience. He believes that relevant and engaging training is essential for career development and business success. Jason is a member of the Minnesota Society of CPAs and was a President’s Scholar at the University of Saint Thomas Law School. He is a member of the Minnesota Bar and holds CPA licenses in five jurisdictions. He is Treasurer for Fort Safety, a non-profit focused on keeping families and children safe online. He wrote “What is Business Intelligence and Why Should CPAs Care?” for Footnote magazine and contributed to the upcoming publication What Every Lawyer Needs to Know About Client Trust Accounts.
